  The activities of our corporate finance department are divided into two categories: Financial Advisory and Securities Underwriting. Financial Advisory includes advisory assignments with respect to mergers and acquisitions, debt restructurings, project finance, corporatisations & privatisations, as well as other related advisory services. Securities Underwriting includes public offerings and private placements of equity and debt securities.

Mergers & Acquisitions

  The mergers and acquisitions (M&A) practice include some of the most experienced professionals in the industry and is responsible for structuring and executing a wide range of complex domestic and regional transactions including acquisitions, divestitures, mergers, joint ventures, corporate restructurings, shareholder relations, recapitalisations, spin-offs, and exchange offers. We also establish and maintain strategic dialogues with existing and potential clients, provide financial advice and solutions to strategic problems and assist clients in achieving short and long-term strategic objectives. SCBS has keen knowledge of the industry and have worked with all the key players in the market. Drawing on that experience and industry wide network, we are active across the full range of M&A advisory roles:

  Sell-side advisory

  Leveraging our independence and extensive experience, we have a strong track record in sell side advisory roles. Acting for target companies, special board committees or selling shareholders, we can operate at the heart of any process, assist in negotiations and give impartial and objective advice about the merits of bids received.

  Buy-side advisory

  We also have a strong record of successful buy-side advisory assignments, advising principally on stock or asset purchases of or by publicly listed companies. Leveraging our knowledge of buy-side M&A advisory, we give objective advice about valuations, strategy and project execution.

  Merger advisory
  SCBS is well qualified to assist clients on merger transactions given the long experience of its partners and professionals, an assurance of total discretion and its lack of conflicting interests. SCBS has a number of sizeable mergers in its list of completed transactions both in the Thailand and regionally.

Debt Restructurings

  Most debt restructuring processes involve numerous stakeholders and competing interests, and managing the parties' various agendas is difficult yet essential in achieving a successful result. At SCBS, our debt restructuring practice has a known reputation for representing players with divergent interests, understanding the range of restructuring perspectives and devising creative solutions to provide our clients with the best possible results.

  SCBS' recognised and premier financial restructuring Group is distinguished by broad experience and significant expertise. Our practitioners, most of whom are widely recognized leaders in their field, bring clients the business acumen and in-depth financial knowledge necessary to successfully formulate realistic and practical restructurings and reorganisations. Project Finance

  Most major development projects involve finance, ownership, legal, regulatory, contract and tax issues. In order to maximize their results therefore, clients often need the advice of experienced bankers to address the needs of other parties, thereby ensuring a successful transaction.

  Our Project Finance Group has experience in the acquisition, development and financing of a variety of stand-alone industrial and commercial projects, ranging from Independent Power Projects to large-scale public transportation projects. We have acted as advisors to project lenders, to developers and other equity investors, and to utility participants and other end-users of such projects.

  SCBS has provided guidance on many of Thailand 's largest utility, industrial, transportation and other projects, and have over the last decade become one of the most knowledgeable and recognized investment banks in the field of structured finance and regulation. We have served as advisors in numerous project finance transactions involving industrial and/or commercial projects in various locations. These financings generally have involved combined construction and permanent financing of the facilities. Many of them have also involved taxable loans, interest rate swaps, limited parent guarantees, mezzanine and subordinate debt, and various other types of credit support.

  We have helped structure the projects' ownership, development and financing, and can at times even help negotiate the concession arrangements, as well as the construction, financing and operating agreements. SCBS has been the lead arranger in numerous project finances, and is known to deliver the best possible terms and conditions for our clients. We have years of experience setting up international financing arrangements and ownership vehicles, and dealing with cross-border and multinational tax planning issues.

Corporatisation & Privatisation

  SCBS provides assistance with reforms in government and the public sector, deregulation of government business enterprises, and introduction of policies on corporatisation and privatisation. We provide advice to public sector enterprises on deregulation and commercial reform, the structuring of the corporatisation and privatisation processes and pride ourselves on our execution competences.

  Corporatisation is the process of making a state body into a commercial company. In many countries it has been considered appropriate to corporatise such formerly state owned providers of services such as energy, public transport and telecommunications, usually to enhance operational and financial efficiency. Corporatisation is often the first stage in a process of privatisation where the ownership of a former state body is transferred to private individuals and institutional investors, generally through the floating of shares available to the public and subsequent listing on a stock exchange.

  In Thailand , the corporatisation process is highly complicated as different state entities, various government committees, such as the State Enterprise Capital Policy Committee (SECPC) and at times, even the parliament, has to approve the conversion. Managing the overall project and timeline, while ensuring strict compliance to laws and regulations is a trait SCBS prides itself on having shown time and time again.

Equity Capital Markets

  The Equity Capital Markets (ECM) Group undertakes the origination, structuring, marketing and pricing of public offerings and private placements of equity and equity-related securities as well as property fund. (ECM also advises SCBS's clients on financing strategies in the context of merger and acquisition activity and public market restructurings and monetisation programs.) ECM provides an important link between the Corporate Finance function and investors, to solicit and execute all of the company's equity-related business. business.
